— Capabilities
Seven capabilities,
deeply held.
Folks House is structured around a small set of services we believe we can do exceptionally well. Each capability is led by a partner, runs end-to-end with the same partner, and gets the full weight of the house behind it.

M&A
Folks House01 · Capability
M&A Advisory
Sell-side · Buy-side · Cross-border · Public M&A
M&A is the practice we are built around. We act as lead financial advisor on sell-side and buy-side processes for promoters, founders, family-owned conglomerates and financial sponsors — from confidential single-buyer transactions to fully marketed competitive auctions.
Our approach is partner-led from origination through closing. We do not package mandates and pass them to junior teams; the partner who pitches is the partner who runs the process. We take a small, deliberate number of M&A mandates each year and stay close to every one — from valuation and positioning through negotiation, definitive documentation and post-signing execution.
We work fluently across sectors and across the India-inbound, India-outbound and intra-India axes. On cross-border transactions, we co-ordinate tightly with tax counsel, regulatory counsel and offshore structuring advisors to deliver a single integrated outcome to the client.

Capital
Folks House02 · Capability
Capital Raising
Growth equity · Pre-IPO · Private credit · Structured capital
We raise capital for founders, promoters and family-owned platforms across the spectrum — Series B and beyond, late-stage growth, pre-IPO placements, structured equity, mezzanine and private credit. Each raise is built around the company, not a templated process.
Our work begins long before outreach. We invest the early weeks in narrative, financial readiness, equity-story positioning and a considered investor map — domestic and global, strategic and financial, long-only and crossover. Process discipline follows: we run tight, calibrated outreach, hold the line on terms, and stay involved through term-sheet, definitive documentation and closing.
We believe terms matter as much as valuation. A clean cap-table at the right price compounds; a noisy one at a higher price does not. We work with founders and promoters who want to raise on terms that compound — not just close.
A · What we do
- Growth & late-stage equity (Series B+)
- Private credit, venture debt & specialty lending
- Structured equity & mezzanine capital
- Pre-IPO and qualified institutional placements
- Promoter financing & holding-co capital
- Sponsor co-investment & club deals
B · Areas of focus
- Founder- and promoter-led capital raises
- Cross-border investor coverage (India ↔ SG / GCC / US)
- Family-office and long-only direct allocations
- Structured solutions for liquidity & succession
- Bridge, growth and pre-listing rounds
C · Our approach
- Narrative and equity-story development first
- Curated investor mapping — strategic and financial
- Tight, calibrated process design
- Hands-on term-sheet and documentation negotiation
- Syndicate construction and closing support

Private
Folks House03 · Capability
Private Equity Coverage
Sponsor coverage · Secondaries · Continuation vehicles
We are a trusted point of access to a curated network of domestic and global financial sponsors — from large-cap buy-out funds and growth platforms to specialty credit funds, family offices and pension-led capital. Our coverage is partner-led, relationship-deep and built over years rather than weeks.
We advise GPs on portfolio engagement, exit pathways and platform build-outs; we advise LPs on direct co-investment and secondary opportunities; and we advise promoters and operating companies on structuring partnerships with sponsor capital. On the GP-led secondary and continuation-vehicle side, we work alongside fund counsel and specialist secondary advisors to deliver integrated solutions.
Our edge is not a directory — it is the depth and honesty of our sponsor relationships. We are valued by GPs precisely because we do not over-shop mandates.

- Sponsor coverage & introductions
- LP-led and GP-led secondaries advisory
- Continuation vehicles & fund extensions
- Portfolio strategic reviews & exit planning
- Sponsor co-investment structuring
- Promoter–sponsor partnership architecture

- Honest mandate selection and over-shopping discipline

Restructuring
Folks House04 · Capability
Restructuring
Debt · Operational · Balance-sheet · IBC & NCLT
We sit on the same side of the table as the client. Restructuring is counsel through transition — balance-sheet, operational and financial — and it is unforgiving of generic advice. We bring partner-level attention to lender coordination, one-time-settlement design, scheme architecture and stressed-asset transactions.
Our restructuring practice is built for the realities of the Indian credit market: bilateral lender dynamics, ARC-platform behaviour, IBC and NCLT pathways, and the cross-border creditor map that increasingly sits behind large Indian balance sheets. We work alongside specialist insolvency counsel, forensic accountants and resolution professionals to deliver an integrated outcome.
We also advise sponsors, ARCs and special-situations funds on the acquisition side — stressed-credit purchases, NPL portfolios and resolution-plan financings.
A · What we do
- Debt restructuring & one-time settlement
- Stressed-asset and discounted-credit advisory
- Turnaround & operational reset
- Insolvency, IBC & NCLT resolution support
- Scheme-of-arrangement design
- Cross-border creditor coordination
B · Areas of focus
- Bilateral and consortium lender restructuring
- Pre-NCLT one-time settlements
- Resolution-plan structuring under IBC
- ARC-platform and stressed-fund coverage
- Distressed real-estate and infra resolution
C · Our approach
- Lender-by-lender mapping and coordination
- OTS economics built around the asset, not the spreadsheet
- Coordination with insolvency counsel and RPs
- Promoter, lender and sponsor alignment
- Integrated tax, regulatory and forensic lens

Strategic
Folks House05 · Capability
Strategic Advisory
Capital allocation · Holding architecture · Family governance
Some of the most important questions our clients face never fit a single transaction. Where should capital be deployed, and against what horizon? How should a family-owned group be re-architected for the next generation? How should a holding company be designed for tax, succession and cross-border deployment?
Our strategic-advisory practice exists for those long-arc questions. We engage on a retainer or project basis with founders, promoters, family-owned conglomerates and single-family offices — diagnosing, designing and helping execute against multi-year roadmaps.
We work alongside the family's existing legal, tax and wealth advisors. We are not trying to replace them — we are trying to be the partner who thinks in capital, sectors and conviction, and who sits in the room when the long-term call has to be made.
A · What we do
- Capital allocation reviews
- Holding-company & trust architecture
- Family governance & succession
- Board-level strategic counsel
- Group-restructuring & demerger design
- Family-office investment-policy frameworks
B · Areas of focus
- First- and second-generation promoter groups
- Single- and multi-family offices
- Operating-company boards and audit committees
- Founders preparing for liquidity events
- Cross-border holding-co re-architecture
C · Our approach
- Diagnostic-led, multi-month engagement
- Coordination with legal, tax and wealth counsel
- Long-term retainer relationship, not transaction fee
- Confidential, partner-only delivery
- Roadmap-anchored execution support

Intellectual
Folks House06 · Capability
Intellectual Property
Portfolio strategy · Licensing · IP-backed credit · M&A carve-outs
Intellectual property is a balance-sheet asset that most Indian promoters and operating companies still under-utilise. We advise founders, family-owned groups and family offices on building, valuing, monetising and transacting IP — from patent and trademark portfolios to copyrights, design rights and data assets.
Our IP-advisory work sits at the intersection of finance and IP strategy. We are not IP prosecution counsel; we are the financial advisor that helps the client think about their IP as capital — what it is worth, how it should be licensed, where it can be borrowed against, and how it should be treated in an M&A carve-out.
On the transaction side, we advise on royalty securitisation, IP-backed lending, brand & trademark carve-outs in larger M&A processes, and cross-border licensing structures for technology and consumer platforms.
A · What we do
- IP portfolio strategy
- Licensing, royalties & monetisation
- IP-backed lending & financing
- Patent & trademark carve-outs in M&A
- Royalty securitisation structures
- Brand & trademark valuation advisory
B · Areas of focus
- Consumer & D2C brand portfolios
- Pharma, biotech & life-sciences IP
- Technology, SaaS and platform IP
- Media, content & format rights
- Family-office IP-allocated capital
C · Our approach
- Portfolio assessment and capital lens
- Coordination with specialist IP counsel
- Independent valuation methodology
- Monetisation pathway design
- Negotiation of licensing & financing terms

Litigation,
Folks House07 · Capability
Litigation, Dispute Resolution & Arbitration
Commercial disputes · Arbitration · Enforcement · Settlement strategy
Disputes are inevitable in the arc of any operating business. Well-handled, they close cleanly and preserve enterprise value; poorly handled, they compound cost and damage. We advise founders, promoters, family-owned groups, boards and family offices on the strategy, economics and structuring of commercial disputes, arbitration proceedings and dispute resolution — from pre-litigation posture through settlement, enforcement and recovery.
We are not litigation counsel. We are the financial and strategic advisor that works alongside counsel — assessing quantum, evaluating settlement economics, structuring commercial resolutions, and helping the client hold the line where it matters. On domestic and cross-border arbitration (ICC, SIAC, LCIA, DIAC), we coordinate closely with arbitration counsel, forensic accountants and quantum experts.
Our practice covers commercial-contract disputes, promoter and shareholder disputes, IP and trademark actions, insolvency-linked claims and cross-border enforcement. Where useful, we also connect clients with specialist third-party funders who underwrite dispute risk on a non-recourse basis.
A · What we do
- Pre-litigation strategy & settlement counsel
- Domestic & international arbitration advisory
- Commercial-contract & shareholder disputes
- IP, copyright & trademark disputes
- Enforcement & award recovery
- Third-party dispute financing (where appropriate)
B · Areas of focus
- Commercial-contract & JV disputes
- Domestic & cross-border arbitration
- Promoter, family & shareholder disputes
- IP, copyright & trademark actions
- Insolvency-linked claim recovery
C · Our approach
- Independent quantum & economics diligence
- Coordination with litigation & arbitration counsel
